Affiliate Terms and Conditions

1. **Eligibility:**
- Heart4Art/Woodprosper are open to receive artwork from all artists aged 18 and above, regardless of nationality or residency, unless prohibited by law.
- Members, affiliates, and immediate family members of Heart4Art/Woodprosper are eligible to participate.

2. **Submission Guidelines:**
- Each participant may submit only one artwork.
- Artwork must be original and created by the participant.
- Plagiarism or infringement of intellectual property rights will result in disqualification.

3. **Ownership and Copyright:**
- By submitting artwork, participants affirm that they are the rightful owners of the artwork and hold all necessary rights, licenses, and permissions to submit the artwork for the purposes outlined in these Terms and Conditions.
- Participants retain full copyright and ownership of their artwork.

4. **License:**
- By submitting artwork, participants grant Heart4Art/Woodprosper a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, sell, and display the artwork on Heart4Art/Woodprosper's website and associated promotional materials for the purposes of promoting the contest and showcasing the artwork.

5. **Modification and Adaptation:**
- Heart4Art/Woodprosper reserves the right to resize, crop, modify, adapt, or make any other necessary changes to the artwork to fit the requirements of the website or promotional materials.

6. **Acknowledgment:**
- Participants acknowledge that their artwork may be used by Heart4Art/Woodprosper for promotional purposes, including but not limited to, social media posts, newsletters, press releases, and advertisements.

7. **Indemnification:**
- Participants agree to indemnify and hold harmless Heart4Art/Woodprosper, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees arising out of or relating to the participant's breach of these Terms and Conditions or violation of any law or the rights of a third party.

8. **Disqualification:**
- Heart4Art/Woodprosper reserves the right to disqualify any participant who violates these Terms and Conditions or engages in any fraudulent, misleading, or inappropriate conduct.

9. **Limitation of Liability:**
- Heart4Art/Woodprosper shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the contest, including without limitation, lost profits, lost data, or loss of goodwill.

10. **Governing Law:**
- These Terms and Conditions shall be governed by and construed in accordance with the law, without regard to its conflict of law principles.

11. **Changes to Terms and Conditions:**
- Heart4Art/Woodprosper reserves the right to modify, suspend, or terminate these Terms and Conditions at any time without prior notice.

By participating in the contest, you acknowledge that you have read, understood, and agree to abide by these Terms and Conditions. If you do not agree with any part of these Terms and Conditions, please do not participate in the contest.
